Terms of Service

1. Agreement to Terms

By accessing or using Clipmerce ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

2. Description of Service

Clipmerce is a cloud-based software platform that enables users to generate AI-produced product videos from uploaded images and publish them to connected social media accounts. Feature availability depends on the subscription plan selected.

3. Accounts

  • You must be at least 16 years old to create an account.
  • You are responsible for maintaining the security of your credentials.
  • You must promptly notify us of any unauthorised account access.
  • One person or legal entity may not maintain more than one free account.

4. Acceptable Use

You agree not to use Clipmerce to:

  • Upload content that infringes intellectual property rights of third parties
  • Generate or publish misleading, defamatory, or illegal content
  • Violate the terms of service of any connected social media platform
  • Attempt to reverse-engineer, decompile, or extract our AI models
  • Resell or sublicense the Service without written permission
  • Conduct automated scraping, crawling, or bulk data extraction
  • Transmit malware, viruses, or other malicious code

5. Your Content

You retain ownership of all content you upload ("Your Content"). By uploading content, you grant Clipmerce a limited, worldwide, non-exclusive, royalty-free licence to store, process, and transmit Your Content solely as necessary to provide the Service.

You represent and warrant that You have all rights necessary to grant this licence, and that Your Content does not violate any law or third-party rights.

6. AI-Generated Content

Videos generated by our AI are produced based on your inputs and style selections. You own the output videos generated from Your Content, subject to these Terms. Clipmerce does not claim ownership of AI outputs derived solely from your assets.

You are solely responsible for reviewing AI-generated content before publishing and for ensuring it complies with all applicable laws and platform policies.

7. Payment and Billing

  • Paid subscriptions are billed in advance on a monthly or annual basis.
  • All fees are non-refundable except as required by law or stated in our Refund Policy.
  • We may change pricing with 30 days notice. Continued use after the change constitutes acceptance.
  • Overdue accounts may be suspended. Accounts suspended for non-payment for more than 60 days may be terminated and data deleted.

8. Free Tier and Trials

Free tier accounts are subject to usage limits as published on our pricing page. We reserve the right to modify or discontinue the free tier at any time with 30 days notice.

9. Termination

Either party may terminate this agreement at any time. You may cancel your account via dashboard settings. We may suspend or terminate accounts that violate these Terms, with or without notice depending on severity.

Upon termination, your right to access the Service ceases. Your Content will be deleted within 90 days unless you request earlier deletion.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. Clipmerce DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI-GENERATED CONTENT WILL MEET YOUR EXPECTATIONS. USE OF THE SERVICE IS AT YOUR OWN RISK.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Clipmerce'S AGGREGATE LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL Clipmerce BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES.

12. Governing Law

These Terms are governed by the laws of the State of California, USA, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in San Francisco County, California.

13. Changes to Terms

We may update these Terms at any time. Material changes will be communicated via email at least 14 days before taking effect. Continued use of the Service after the effective date constitutes acceptance of the new Terms.
